1. Acceptance of Terms

By creating an account, accessing, or using the Bundul Service, you confirm that you are at least 18 years of age, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into this agreement. If you are accessing or using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Bundul Service Overview

Bundul is a mobile application designed to simplify your subscription management. Our core service allows you to:

• Consolidate Subscription Payments:Link your existing streaming and other recurring subscriptions to Bundul and pay for them through a single, consolidated monthly bill.
• Flexible Billing Cycles: Choose your preferred start date for your monthly billing cycle.
• Split Payments: Opt to split your consolidated monthly payment into two equal installments, due approximately 15 days apart.
• Personal Finance Content: Access articles and resources on personal finance.
• Entertainment Recommendations: Receive unbiased TV show and movie recommendations.

Bundul acts as a payment facilitator for your existing subscriptions; we are not a streaming service provider, content provider, or a direct biller for your underlying subscriptions. Your relationship with individual subscription services remains separate and governed by their respective terms and conditions.

3. Account Registration and Security

• Account Creation: To use the Service, you must register for an account using your email address and creating a password. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Account Security: You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify Bundul immediately of any unauthorized use of your password or account or any other breach of security. Bundul will not be liable for any loss or damage arising from your failure to comply with this Section 3.2.
• One-Time Passwords (OTPs): For account security and verification, you may receive One-Time Passwords (OTPs) via SMS to the phone number you provide. You understand that standard message and data rates may apply.

4. Linking Subscriptions and Payment Processing

• Subscription Linking and Authorization: To enable the core functionality of the Service, you will provide Bundul with the necessary information to link and manage your existing subscription services. We use a secure financial data aggregator, Plaid Inc., to identify your recurring payments and provide you with a list of subscriptions that can be consolidated.For each supported subscription you choose to consolidate, you agree to provide us with the login credentials, including passwords and any multi-factor authentication information, for your account with that service provider (the "Third-Party Provider").
  
  You acknowledge and agree that Bundul will use these credentials solely for the purpose of a one-time authentication and setup of your consolidated payment with the Third-Party Provider. Once this setup is complete, these credentials are securely deleted and are not stored on our servers.
• Limited Power of Attorney and Agency:By providing your login credentials, you expressly authorize and direct Bundul to act as your limited agent and attorney-in-fact to access and manage your account with that Third-Party Provider. This authorization is strictly limited to the scope necessary to provide the Service, including the right to:
  • Access and retrieve your subscription billing information.
  • Take actions on your behalf to update your payment method to Bundul's payment processing system.
  • Communicate with the Third-Party Provider's systems as necessary to fulfill the Service's purpose
  
  You understand and agree that when we access your accounts, we are doing so as your authorized agent, not as the agent of any third party. You are solely responsible for ensuring that your use of the Service and our actions on your behalf comply with any applicable terms or policies governing your accounts with Third-Party Providers.
• Payment Authorization:By linking your subscriptions and selecting a payment method, you authorize Bundul to charge your designated payment method (e.g., bank account) for the consolidated amount of your recurring subscriptions, plus any applicable Bundul service fees, on your chosen billing cycle date(s). If you opt for split payments, you authorize us to charge two separate installments approximately 15 days apart.
• Payment Processing:We use a third-party payment processing partner, Priority Technology Holdings Inc., to securely process your payments. Bundul does not store your full payment card or bank account details on its servers; such data is tokenized by our payment processor. Your use of the payment processing service is subject to the terms and conditions and privacy policy of Priority Technology Holdings Inc., available at Privacy Policy at Priority Clarifies Personal Data Use.
• Failed Payments: If a payment fails, Bundul reserves the right to retry the payment, charge a late fee (where permitted by law), or suspend or terminate your access to the Service. You are responsible for ensuring that your payment method has sufficient funds and remains valid.
• Bundul Service Fees: Bundul charges a recurring monthly service fee for the use of its platform. This fee will be clearly disclosed to you before you commit to the Service. You agree to pay all applicable fees associated with your use of the Service. Bundul reserves the right to change its fees at any time, with prior notice to you.

5. User Conduct and Restrictions

• Using the Service for any illegal, fraudulent, or unauthorized purpose.
• Interfering with or disrupting the integrity or performance of the Service.
• Attempting to gain unauthorized access to any part of the Service or its related systems.
• Using any automated means (e.g., robots, spiders) to access the Service without our express written permission.
• Transmitting any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.

6. Intellectual Property

• Bundul's Property: All intellectual property rights in the Service, including all text, graphics, logos, images, software, and other content, are owned by Bundul or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.
• Trademarks:The Bundul name, logo, and any other product or service names, logos, or slogans that may appear on the Service are trademarks of Bundul and may not be copied, imitated, or used, in whole or in part, without our prior written permission.

7. Third-Party Services and Content

• Linked Subscriptions: The Service facilitates payment for your subscriptions with third-party providers (e.g., Netflix, Spotify). Bundul has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party services. Your use of those third-party services is subject to their respective terms and conditions and privacy policies.
• Recommendations and Articles: The personal finance articles and TV show/movie recommendations provided within the App are for informational and entertainment purposes only. They are based on Bundul's editorial judgment and are not influenced by any promotional or advertising associations with streaming services or financial products. Bundul does not endorse any specific financial product or service. You should seek professional advice before making any financial decisions.

8. Privacy Policy

Your privacy is critically important to us. Our Privacy Policy explains how we collect, use, store, and disclose your personal information, including details about data sharing with third-party advertising platforms for our own marketing purposes (e.g., Meta, Reddit, TikTok) and the security measures in place. 9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BUNDUL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. BUNDUL DOES NOT MAKE ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF THE CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING RECOMMENDATIONS OR FINANCIAL ARTICLES.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUNDUL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, EVEN IF BUNDUL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL BUNDUL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE AMOUNT PAID BY YOU TO BUNDUL FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Bundul, its affiliates, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any content or information you submit, post, or transmit through the Service.

12. Term and Termination

• Term:These Terms will remain in full force and effect while you use the Service.
• Termination by You: You may terminate your account at any time by contacting us at support@bundul.com or through your account settings within the App. Upon termination, your access to the Service will cease, and any remaining consolidated payment obligations will be due.
• Termination by Bundul: We may suspend or terminate your access to the Service, in whole or in part, at our sole discretion, without prior notice or liability, for any reason, including but not limited to: (a) your breach of these Terms; (b) a request by law enforcement or other government agencies; (c) discontinuance or material modification of the Service; (d) unexpected technical issues; or (e) extended periods of inactivity.
• Effect of Termination: Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Sections related to payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and general provisions shall survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

• Dispute Resolution:If a dispute arises between you and Bundul, our goal is to provide a neutral, efficient, and cost-effective resolution. Before initiating formal legal action, you agree to first contact our customer support team at support@bundul.com to attempt to resolve the issue informally.
  If we are unable to resolve your dispute, you and Bundul agree that any dispute, claim, or controversy arising from or related to these Terms or the Service shall be resolved through binding arbitration instead of in court, except that you may bring an eligible claim in small claims court if it qualifies. Additionally, both you and Bundul retain the right to file a lawsuit solely for the purpose of protecting intellectual property rights or preventing unauthorized access, fraud, or abuse of the platform.
• Arbitration Agreement and Class Action Waiver: Both you and Bundul waive any right to a jury trial, and agree that any arbitration or legal dispute shall be conducted on an individual basis—not as a class action, collective action, or other representative proceeding. The arbitrator may not consolidate multiple claims or preside over any form of a class, consolidated, or representative action without the express written consent of all parties. This arbitration agreement does not prevent you from bringing concerns to the attention of federal, state, or local agencies, which may seek relief on your behalf if allowed by law. This arbitration agreement shall survive the termination of your account and the termination of this agreement.
• Arbitration Rules and Venue:To initiate arbitration, you must send a written demand for arbitration to: Bundul Inc. Legal Department Address, 16192 Coastal Hwy, Lewes DE US 19958-3608 or legal@bundul.io.
  The arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by this Agreement. The AAA rules and filing instructions are available at www.adr.org or by calling 1-800-778-7879.
  Unless you and Bundul agree otherwise, arbitration will be conducted in the county where you reside. If your claim is for $10,000 or less, the arbitration will be conducted solely based on documents submitted to the arbitrator, unless you request a hearing or the arbitrator determines that a hearing is necessary. If your claim exceeds $10,000, your right to a hearing will be governed by the AAA Rules. The arbitrator's decision shall comply with the limitations set forth in the "Limitation of Liability" section of these Terms.

14. Changes to Terms

Bundul reserves the right to modify or update these Terms at any time, in our sole discretion. We will provide notice of material changes by updating the "Effective Date" at the top of these Terms and, where appropriate, notifying you through the App or via email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bundul concerning your use of the Service.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Bundul's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms, in whole or in part, without Bundul's prior written consent. Bundul may assign these Terms at its sole discretion without restriction.
• Headings: The headings used in these Terms are for convenience only and shall not affect the interpretation of these Terms.
