Terms Of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Bundul Inc. ("Bundul," "we," "us," or "our") governing your access to and use of the Bundul mobile application ("App") and all associated services, features, content, and functionalities (collectively, the "Service").

Please read these Terms carefully before accessing or using our Service. By clicking "I Agree," "Sign Up," or otherwise accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Bundul Service, you confirm that you are at least 18 years of age, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into this agreement. If you are accessing or using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Bundul Service Overview

Bundul is a mobile application designed to simplify your subscription management. Our core service allows you to:

• Consolidate Subscription Payments: Link your existing streaming and other recurring subscriptions to Bundul and pay for them through a single, consolidated monthly bill.
• Flexible Billing Cycles: Choose your preferred start date for your monthly billing cycle.
• Split Payments: Opt to split your consolidated monthly payment into two equal installments, due approximately 15 days apart.
• Personal Finance Content: Access articles and resources on personal finance.
• Entertainment Recommendations: Receive unbiased TV show and movie recommendations.

Bundul acts as a payment facilitator and authorized agent for your existing subscriptions; we are not a streaming service provider, content provider, or a direct biller for your underlying subscriptions. Your relationship with individual subscription services remains separate and governed by their respective terms and conditions.

3. Account Registration and Security

3.1. Account Creation: To use the Service, you must register for an account using your email address and creating a password. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2. Account Security: You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify Bundul immediately of any unauthorized use of your password or account or any other breach of security. Bundul will not be liable for any loss or damage arising from your failure to comply with this Section 3.2.

3.3. One-Time Passwords (OTPs): For account security and verification, you may receive One-Time Passwords (OTPs) via SMS to the phone number you provide. You understand that standard message and data rates may apply.

4. Linking Subscriptions and Payment Processing

4.1. Subscription Linking and Authorization: To enable the core functionality of the Service, you will provide Bundul with the necessary information to link and manage your existing subscription services. We use a secure financial data aggregator, Plaid Inc., to identify your recurring payments and provide you with a list of subscriptions that can be consolidated. For each supported subscription you choose to consolidate, you agree to provide us with the login credentials, including passwords and any multi-factor authentication information, for your account with that service provider (the "Third-Party Provider").

You acknowledge and agree that Bundul will use these credentials solely for the purpose of a one-time authentication and setup of your consolidated payment with the Third-Party Provider. Once this setup is complete, these credentials are securely deleted and are not stored on our servers.

4.2. Limited Power of Attorney and Agency: By providing your login credentials, you expressly authorize and direct Bundul to act as your limited agent and attorney-in-fact to access and manage your account with that Third-Party Provider. This authorization is strictly limited to the scope necessary to provide the Service.

4.3. Payment Authorization: By linking your subscriptions and selecting a payment method, you authorize Bundul to charge your designated payment method for the consolidated amount of your recurring subscriptions, plus any applicable Bundul service fees.

4.4. Payment Processing: We use a third-party payment processing partner, Priority Technology Holdings Inc., to securely process your payments. Bundul does not store your full payment card or bank account details on its servers.

4.5. Failed Payments: If a payment fails, Bundul reserves the right to retry the payment, charge a late fee (where permitted by law), or suspend or terminate your access to the Service.

4.6. Bundul Service Fees: Bundul charges a recurring monthly service fee for the use of its platform. This fee will be clearly disclosed to you before you commit to the Service.

5. User Conduct and Restrictions

5.1. Acceptable Use: You agree to use the Service only for lawful purposes and in accordance with these Terms. You are prohibited from using the Service for illegal purposes, interfering with the Service, or attempting to gain unauthorized access.

5.2. Accuracy of Information: You are responsible for ensuring the accuracy of all information you provide to Bundul.

5.3. No Resale of Service: You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission.

6. Intellectual Property

6.1. Bundul's Property: All intellectual property rights in the Service are owned by Bundul or its licensors.

6.2. Trademarks: The Bundul name and logo are trademarks of Bundul and may not be used without prior written permission.

7. Third-Party Services and Content

7.1. Linked Subscriptions: Bundul has no control over, and assumes no responsibility for, the content or privacy policies of third-party services (e.g., Netflix, Spotify).

7.2. Recommendations and Articles: Personal finance articles and entertainment recommendations are for informational purposes only. Bundul does not endorse any specific financial product or service.

8. Privacy Policy

Your privacy is critically important to us. Our Privacy Policy explains how we collect, use, store, and disclose your personal information. Specifically, our Privacy Policy confirms that sensitive credentials are used for a one-time authentication and are not stored after the consolidation setup is complete. By using the Service, you agree to the terms of our Privacy Policy, available at bundul.io/privacy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. BUNDUL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BUNDUL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL BUNDUL'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR $100.

11. Indemnification

You agree to indemnify and hold harmless Bundul from any claims arising from your use of the Service or violation of these Terms.

12. Term and Termination

You may terminate your account at any time. Bundul may suspend or terminate your access for breach of Terms or other reasons. Upon termination, rights granted to you cease, but payment obligations survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware.

Dispute Resolution: You agree to first attempt to resolve any dispute informally by contacting support@bundul.io.

Arbitration Agreement: If unresolved, disputes shall be resolved through binding arbitration conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You waive the right to a jury trial and class action participation.

14. Changes to Terms

Bundul reserves the right to modify these Terms at any time. Continued use of the Service constitutes acceptance of revised Terms.

15. General Provisions

These Terms constitute the entire agreement between you and Bundul. If any provision is invalid, the remaining provisions remain in effect.
